We tried to keep this readable. Sections are labeled, the table of contents links to each one, and every clause that could surprise you has a Plain-English callout next to it. If a sentence here doesn't match how we actually behave — email us. The behavior is what matters; the document is the backup.
1. The Service
SWAYDE 3D ("the Service," "we," or "us") is software that helps 3D-print sellers track production costs, marketplace fees, and profit margins. We provide the Service on an "as-is, as-available" basis. We may add, modify, or remove features at any time.
These Terms of Service form a binding agreement between you ("you" or "Customer") and SWAYDE 3D. If you use the Service on behalf of a business, you represent that you have authority to bind that business to these terms.
2. Your Account
You must provide accurate registration information and keep it current. You are responsible for all activity that occurs under your account, including any actions taken by team members you invite.
You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service. The Service is not directed to children under 13.
You are responsible for safeguarding your password and any authentication tokens. Notify us immediately if you suspect unauthorized access.
3. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable laws (including export controls, tax laws, and consumer-protection laws).
- Upload content you don't have rights to (3D models, images, customer data).
- Scrape, reverse-engineer, decompile, or otherwise attempt to extract the source code of the Service.
- Resell, sublicense, or repackage the Service without our written permission.
- Interfere with the Service's operation, attempt to bypass rate limits, or probe for vulnerabilities (other than through an authorized disclosure program, if we offer one).
- Impersonate another person or business.
We may suspend or terminate accounts that violate this section, with or without notice.
4. Subscriptions & Billing
4.1 Plans
We offer a free Calculator tier and paid Starter and Growth plans. Pricing and feature lists are described on our pricing page and are part of these terms. We may change pricing for future billing cycles with at least 30 days' notice.
4.2 Billing cycle
Paid plans are billed monthly or annually in advance. By providing a payment method, you authorize us (and our payment processor) to charge that method on each billing date. Charges are non-refundable except as expressly stated in Section 4.3.
4.3 Cancellations and refunds
You can cancel your subscription at any time through the billing portal. When you cancel, your plan stays active through the end of the current billing period and does not renew after that. Except where a refund is required by applicable law, payments are non-refundable and we do not provide partial refunds for unused time. If you think you were charged in error, email us and we'll make it right.
4.4 Failed payments
If a payment fails, we will retry the charge and notify you. If payment remains unpaid for 14 days, we may downgrade your account to the Calculator (free) tier and pause access to paid features until you resolve the issue. Your data is preserved.
4.5 Taxes
Prices exclude applicable taxes. You are responsible for any sales, use, VAT, or similar taxes assessed on your purchase (other than taxes on our net income).
5. Your Data
You own your data."Your Data" means everything you upload to or generate through the Service: model definitions, order records, customer information, filament inventory, costs, profit numbers — all of it.
You grant us a worldwide, non-exclusive, royalty-free license to host, process, transmit, display, and otherwise use Your Data solely for the purpose of operating the Service for you. We do not sell Your Data, and we do not use it to train AI models.
You may export Your Data in a portable format at any time while your account is active. After cancellation, you have 30 days to export. After that, we may delete it, subject to legal-hold requirements.
Your orders, costs, models, customers — yours. We're not selling them, we're not training AI on them, we're not even reading them. You can take it all with you whenever. The license language above is what makes the servers technically allowed to display your data to you.
6. Intellectual Property
We retain all rights, title, and interest in the Service — including software, design, branding, and any aggregated or anonymized analytics we derive from usage patterns across our customer base. You retain all rights to Your Data and to the 3D models, brands, and content you operate through the Service.
If you submit feedback or feature suggestions, you grant us a perpetual, royalty-free license to use that feedback to improve the Service. You do not gain any rights to the Service from such feedback.
7. Third-Party Services
The Service integrates with third-party platforms (e.g., Etsy, Amazon, Shopify, TikTok Shop, Gmail, SimplyPrint, Stripe). Your use of those platforms is governed by their own terms and privacy policies, not by us. We are not responsible for the availability, accuracy, or behavior of third-party services, including changes to their APIs or fee structures.
Some integrations require you to authorize access to your third-party accounts via OAuth. You can revoke that access at any time, from the third party's settings or from our Integrations page.
8. No Warranty
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR PRODUCE PARTICULAR FINANCIAL RESULTS.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW: (a) NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, OR LOST DATA; AND (b) OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF $100 OR THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
These limits apply even if we have been advised of the possibility of such damages, and even if a remedy fails of its essential purpose.
If the Service goes down on Black Friday and you lose $5,000 in sales, we're not on the hook for that. Plan your business as if any vendor could fail any day, including us. We work hard not to, but the math of small SaaS is that we can't insure your bottom line.
10. Indemnification
You agree to defend, indemnify, and hold harmless SWAYDE 3D and its officers, employees, and contractors from any claim, demand, or damages (including reasonable attorneys' fees) arising from: (a) your use of the Service, (b) Your Data, (c) your violation of these Terms, or (d) your violation of any third-party right, including any intellectual property, publicity, or privacy right.
11. Termination
You may cancel your subscription at any time through the billing portal (Stripe's customer portal), which you can open from your Farm Settings. Cancellation stops future renewals and takes effect at the end of your current billing period. Farm owners can also permanently delete the farm and all of its data from Farm Settings.
We may suspend or terminate your account immediately if you materially breach these Terms, fail to pay, or use the Service in a way that creates legal or security risk for us or other customers.
Sections 5 (Your Data, ownership clauses), 6 (IP), 8-10 (warranty disclaimers, liability limits, indemnification), and 12 (Law) survive termination.
12. Governing Law
These Terms are governed by the laws of the State of Massachusetts, USA, without regard to its conflict-of-laws principles. Any dispute will be resolved exclusively in the state or federal courts located in Suffolk County, Massachusetts, and the parties consent to personal jurisdiction there.
You and SWAYDE 3D agree to attempt good-faith resolution of any dispute through written notice before initiating legal proceedings.
13. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will notify you by email or in-app banner at least 14 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
